Important Notice

SOLR AI LTD is currently in pre-launch development. These terms are published in preparation for the platform launch and will take effect upon commencement of commercial operations. No services are currently being provided, no transactions are being processed, and no user data is being collected beyond pre-registration interest.

These Terms of Service ("Terms") govern your access to and use of the SOLR AI platform and services ("Services") provided by SOLR AI Limited ("SOLR AI", "we", "our", or "us"), a company registered in England and Wales.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Definitions

  • "Platform" refers to the SOLR AI web application, APIs, and related services
  • "User", "you", "your" refers to any individual or entity using our Services
  • "Content" refers to data, text, images, and other materials uploaded or generated
  • "Account" refers to your registered user account on the Platform
  • "Subscription" refers to paid access to premium features

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised access or security breach.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update this information as necessary to maintain its accuracy.

3. Use of Services

3.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • In any way that violates applicable laws or regulations
  • To transmit harmful, offensive, or illegal content
  • To impersonate any person or entity
  • To interfere with or disrupt the Services or servers
  • To attempt unauthorised access to any part of the Services
  • To use automated systems (bots, scrapers) without permission
  • To reverse engineer or decompile any part of the Platform

3.2 API Usage

API access is subject to rate limits and usage quotas specified in your subscription plan. Excessive or abusive API usage may result in temporary or permanent suspension.

4. Intellectual Property Rights

4.1 Our IP Rights

The Platform, including its software, algorithms, design, trademarks, and content, is owned by SOLR AI and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

4.2 Your Content

You retain ownership of any data or content you upload to the Platform. By uploading content, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, and analyse your content solely to provide and improve our Services.

4.3 AI-Generated Output

You own the output generated by our AI models based on your inputs. However, we retain the right to use aggregated, anonymised data for research and service improvement.

5. Subscriptions and Payments

5.1 Pricing

Subscription fees are as stated on our pricing page. We reserve the right to change pricing with 30 days' notice to existing subscribers.

5.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorise us to charge your payment method on each billing cycle. Failed payments may result in service suspension.

5.3 Refunds

We offer a 14-day money-back guarantee for new subscriptions. Refunds after this period are at our discretion. Enterprise agreements may have different terms.

5.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using our Services, you consent to our data practices as described in the Privacy Policy.

7. Disclaimers and Warranties

7.1 "As Is" Provision

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Services will be uninterrupted, error-free, or free from harmful components.

7.2 No Professional Advice

Our AI-generated insights and recommendations are for informational purposes only and do not constitute professional engineering, financial, or legal advice. You should consult qualified professionals before making significant decisions.

7.3 Accuracy Limitations

Whilst we strive for accuracy, we do not guarantee the accuracy, completeness, or reliability of any solar assessments, energy projections, or other outputs. Actual results may vary significantly.

8. Limitation of Liability

To the maximum extent permitted by law:

  • SOLR AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for losses caused by factors beyond our reasonable control
  • We are not liable for third-party services, content, or integrations

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or other liabilities that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold harmless SOLR AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit or upload

10. Term and Termination

10.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us.

10.2 Termination by Us

We may suspend or terminate your access immediately if you violate these Terms or engage in conduct harmful to our Services or other users.

10.3 Effect of Termination

Upon termination, your right to use the Services ceases. We may delete your data after 30 days. Provisions that by their nature should survive termination will remain in effect.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from these Terms.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification. Continued use of the Services after changes constitutes acceptance of the updated Terms.

13. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and SOLR AI
  • Severability: If any provision is found invalid, the remaining provisions remain in force
  • Waiver: Our failure to enforce any right does not constitute a waiver of that right
  • Assignment: You may not assign these Terms without our consent. We may assign them freely
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
